This Friends of Fetcher Program Agreement (the "Agreement") is entered into between TipLinks, Inc. ("Company"), and the undersigned participant ("Participant"), collectively referred to as the "Parties." This Agreement outlines the terms and conditions under which Participant may participate in the Friends of Fetcher Program (the "Program") offered by Company.
1. Program Overview
Participant acknowledges and agrees to participate in the Friends of Fetcher Program, which is designed to establish a collaborative partnership between the Parties. The Program enables Participant to refer potential customers to Fetcher's products and sourcing services (the "Services"), and in return, Participant may be eligible to receive compensation as outlined in Section 2 below.
2. Compensation
A. Referral Compensation: Participant shall be entitled to offer a 10% discount and receive a referral commission equal to 10% of the first year's contract value for any referred business that results in a signed contract for Fetcher's Services. The referral commission is payable upon the successful payment of each installment of the contract.
B. Business Sold by Participant: In the event that Participant is directly involved in the sale and closure of a contract for Fetcher's Services, Participant shall be entitled to offer a 10% discount and receive a commission equal to 30% of the first year's contract value. This commission is payable upon the successful payment of each installment of the contract.
3. Independent Operation
Participant acknowledges and agrees that they are an independent entity and shall operate independently from Company. Participant shall have no authority to enter into contracts, agreements, or commitments on behalf of Company. This Agreement does not create an employer-employee relationship, partnership, agency, or joint venture between the Parties.
4. Referral Process
Upon signing up for the Program, Participant will be provided with a unique referral code ("Referral Code"). Participant shall distribute this Referral Code to potential customers interested in Fetcher's Services. Any business referred using the Referral Code will be tracked by Company for the purpose of calculating referral commissions.
5. Confidentiality
Participant agrees to treat any non-public information received from Company as confidential and shall not disclose, use, or reproduce such information for any purpose other than in furtherance of the Program.
6. Term and Termination
This Agreement shall commence upon Participant's acceptance of the Program's terms and shall continue until terminated by either Party with written notice. Company reserves the right to terminate this Agreement and Participant's participation in the Program at any time for any reason.
7. Disclaimer
A. Company makes no guarantees or representations regarding the potential income or success that Participant may achieve through the Program. Participant acknowledges that the success of the Program depends on various factors, including Participant's efforts and the market conditions.
B. Participant acknowledges and agrees that they are solely responsible for complying with any applicable laws, regulations, and tax obligations related to their participation in the Program.
8. Entire Agreement
This Agreement constitutes the entire understanding between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
9. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of Florida, without regard to its conflict of laws principles. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Florida.
